The following Terms of Trade (hereinafter referred to as "Terms") apply to all trade between Gerald L Jordan and Kalena E Jordan (also trading as "Search Engine College" and "Jordan Consulting Group" and hereinafter referred to as "JCG") and our clients (hereinafter referred to as "client(s)").

Please refer to these terms before you commit to our goods and services. It is the responsibility of all current and prospective JCG clients to keep themselves familiar with these Terms and any alterations to these Terms or our Fees by visiting the Terms page and Fees page on a regular basis.

Prices

Please see our Fees page. The ultimate amount/s invoiced will be reflected by JCG in the estimate of hours in your proposal (subject to the number of days the proposal is stated to be valid) or, if no proposal is provided, the amounts quoted by JCG in written correspondence with clients. Recommended resale or retail prices appearing in any price list are recommended prices only and there is no obligation for JCG to comply with such recommendations. Unless otherwise advised by JCG in writing, prices do not include GST and other taxes (which if payable shall be to the customer's account). If a goods and services tax or similar value added tax ("GST") is levied in respect of any supply made under or in connection with these Terms of Trade, the amount payable for that supply will be increased by the rate of GST. The recipient of any such payments shall issue a GST tax invoice or any other thing required under any legislation in the form required and in the time provided for by the relevant legislation. All New Zealand clients will be invoiced in New Zealand dollars and all clients who are not registered to trade in New Zealand will be invoiced in US dollars.

Invoice Payment

All invoices are due on the due date listed on the invoice. This is generally due upon receipt or due in seven days and this due date is determined by your proposal from JCG (or email correspondence, if no proposal has been provided). In the absence of specified terms, all invoices are due upon receipt. All invoice amounts outstanding beyond 30 (thirty) days incur interest of 0.00057494 (21% per annum, divided by 365.25 days) per day, calculated daily, on all amounts outstanding.

Transferral of Goods

All goods remain the property of JCG until the client has paid and discharged any and all monies owing pursuant to any invoice issued by JCG for the goods, including all applicable GST and other taxes, levies and duties. Any payment made by or on behalf of the client which is later avoided by the application of any Statutory Provisions shall be deemed not to discharge JCG's title in the goods nor the client's indebtedness to JCG and, in such an event, the parties are to be restored to the rights which each respectively would have had if the payment had not been made. These goods include, but are not limited to, all site code and Content Management Systems provided by JCG. Goods created by JCG remain our copyright and goods provided by third parties remain their copyright.

Warranty of Goods and Services

The services provided by JCG are largely consultation services and while advice is given in good faith, any advice given comes without guarantees or warranties of any kind. In regards to our Search Engine Marketing services, we endeavour to advise clients to the best of our knowledge regarding the best course(s) of action in obtaining increased rankings for their sites in the search engines, but as we do not own any of the search engines, we cannot guarantee how the search engines will act in any given circumstance. Regarding the Content Management Systems we install for clients - we are able to offer our CMS services at such reasonable rates because we use Open Source Content Management Systems. These systems tend to be updated when bugs or security issues are found, but the CMS creators do not guarantee that their software will never be hacked or that it will never fail for any reason and neither can we make these guarantees. All Content Management Systems and other third party programs come WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE.

Jurisdiction for Disputes

Any disputes between JCG and clients will be under the jurisdiction of the laws of New Zealand.

Privacy Policy

All customer details collected on this site are collected and used for internal marketing and the offering of our services and are not sold, lent or otherwise provided to third parties, unless a third party helps to provide our services or unless we are legal obligated to release such information.
